MASTER TERMS & CONDITIONS
The Profitable Blueprint®
Group Advisory | Private Advisory | Digital Products
Effective Date: 1 January 2026
1. Agreement and Acceptance
These Master Terms & Conditions (the “Terms”) are a legally binding agreement between Kamileon Professional Development, Inc., a Georgia corporation (“KPD, Inc.,” “Company,” “we,” “us,” or “our”), and the individual or entity purchasing, accessing, or participating in an Offering (“Client,” “you,” or “your”).
These Terms apply to all purchases of and participation in: (a) The Profitable Blueprint® | Group Advisory; (b) The Profitable Blueprint® | Private Advisory; and (c) digital products, including courses, workbooks, playbooks, templates, assessments, recordings, downloads, memberships, and other educational resources (collectively, the “Offerings”).
By clicking an acceptance box, signing an order form or proposal, submitting payment, accessing materials, or participating in an Offering, you acknowledge that you have read, understood, and agreed to these Terms. If you purchase for an entity, you represent that you have authority to bind that entity, and “Client” includes both you and the entity. If you do not agree, do not purchase, access, or participate.
Your order form, proposal, invoice, checkout page, enrollment page, sales page, or statement of work (each, an “Order Form”) identifies the Offering-specific price, payment schedule, term, deliverables, access period, and any special terms. The Order Form and these Terms form the complete agreement. If they conflict, the Order Form controls only as to the specific commercial term it expressly addresses; these Terms control in all other respects.
2. Eligibility and Business Use
You must be at least eighteen (18) years old and legally capable of entering a contract. Unless the Order Form expressly states otherwise, the Offerings are designed for business and professional use. You are responsible for confirming that an Offering is suitable for your business stage, resources, goals, and legal obligations.
3. Description of Offerings
3.1 Group Advisory
The Profitable Blueprint® | Group Advisory is a cohort- or community-based strategic advisory experience. Depending on the applicable Order Form, it may include assessments, curriculum, group advisory sessions, implementation guidance, office hours, community discussions, decision support, guest experts, event or retreat access, recordings, and related materials. Group time is shared among participants; no participant is guaranteed a specific amount of individual attention, speaking time, or access to KPD, Inc., outside the stated delivery channels. We do not guarantee any specific financial, business, or personal results. Outcomes vary based on each client’s individual circumstances, experience, decisions, resources, market conditions, and level of time, effort, and implementation.
3.2 Private Advisory
The Profitable Blueprint® | Private Advisory is a customized strategic advisory relationship with scope, cadence, access, deliverables, and boundaries defined in the Order Form. Private Advisory does not include unlimited access, on-demand work, implementation, emergency support, or services outside the agreed scope unless KPD, Inc. approves them in writing. Unused sessions, reviews, or access expire at the end of the stated term unless the Order Form expressly provides otherwise. We do not guarantee any specific financial, business, or personal results. Outcomes vary based on each client’s individual circumstances, experience, decisions, resources, market conditions, and level of time, effort, and implementation.
3.3 Digital Products
Digital Products are licensed educational materials delivered electronically or through a third-party platform. Delivery may be immediate, scheduled, or released in stages. Features, file formats, platform availability, and access periods are as described at purchase. A purchase grants a limited license; it does not transfer ownership of the content or intellectual property. We do not guarantee any specific financial, business, or personal results. Outcomes vary based on each client’s individual circumstances, experience, decisions, resources, market conditions, and level of time, effort, and implementation.
3.4 Changes to Delivery
KPD, Inc. may make reasonable changes to curriculum, session dates, delivery methods, platforms, instructors, guest experts, sequence, or substantially equivalent components when necessary to improve delivery, address availability, protect participants, or respond to circumstances beyond KPD, Inc.’s reasonable control. KPD, Inc. will not materially reduce the overall value of a paid Offering without providing an appropriate substitute, credit, extension, or other remedy determined in good faith.
4. Fees, Payment, and Billing
4.1 Fees and Taxes
You agree to pay all fees shown in the Order Form. Unless stated otherwise, fees are in U.S. dollars. You are responsible for applicable sales, use, value-added, withholding, or similar taxes, other than taxes based on KPD, Inc.’s net income.
4.2 Payment Authorization
You authorize KPD, Inc. and its payment processor to charge the payment method you provide for all amounts due under the Order Form, including scheduled installments and any approved additional services. You must keep billing information current and promptly notify KPD, Inc. of any change.
4.3 Installment Plans Are Not Cancel-Anytime Subscriptions
An installment plan is a financing convenience for one fixed-price purchase. It does not convert the Offering into a month-to-month service and does not permit cancellation of the remaining balance. Unless a written refund right applies, the full purchase price remains due even if you stop participating, fail to use the Offering, lose access because of your breach, or experience a change in personal or business circumstances.
4.4 Recurring Subscriptions or Renewals
KPD, Inc. will charge recurring fees or automatically renew an Offering only when the Order Form clearly states the renewal amount, frequency, duration, and cancellation method and you affirmatively consent. You may cancel a recurring renewal with a 30-day notice using the method stated at checkout or by contacting KPD, Inc. at the support email in Section 24. Cancellation stops future renewal charges but does not retroactively refund prior charges or cancel a fixed installment obligation. Any rights provided by applicable law remain unaffected.
4.5 Failed and Late Payments
If a payment fails, KPD, Inc. may retry the charge, request an updated payment method, suspend access, postpone services, or withhold deliverables until the account is current. After written notice and any legally required cure period, overdue balances may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law. You are responsible for reasonable, lawful collection costs, including attorneys’ fees, incurred to collect undisputed overdue amounts.
4.6 Chargebacks & Payment Disputes
You acknowledge that you are entering into this Agreement voluntarily, without coercion, and with a full understanding of the Offering, your financial investment, the applicable refund policy, and your obligation to complete all payments due under the Order Form.
Before initiating a chargeback or payment dispute with your bank, credit-card issuer, or payment provider, you agree to contact KPD, Inc. and provide a reasonable opportunity to investigate and resolve your concern. You agree not to initiate a chargeback solely to avoid a valid payment obligation, circumvent the applicable refund policy, or retain access to an Offering without payment.
A chargeback or payment dispute does not cancel this Agreement or eliminate any valid outstanding balance. KPD, Inc. may suspend or terminate access while a dispute is pending and may provide the financial institution or payment processor with these Terms, the Order Form, transaction records, access records, communications, proof of delivery, and other relevant evidence.
If a chargeback is resolved in KPD, Inc.’s favor, you remain responsible for the disputed amount and, to the extent permitted by law, any reasonable chargeback fees, collection costs, court costs, and attorneys’ fees incurred in recovering the valid unpaid balance. Nothing in this section limits any chargeback, dispute, or consumer-protection right that cannot legally be waived.
5. Refunds, Cancellations, and Credits
Because advisory capacity is reserved and digital content cannot be returned once accessed or delivered, all sales are final and nonrefundable unless: (a) the applicable Order Form or sales page expressly states a specific written refund or guarantee; (b) KPD, Inc. approves a refund in writing; or (c) applicable law requires otherwise. Any advertised guarantee applies only according to its stated eligibility requirements, request deadline, documentation requirements, and exclusions.
Failure to attend, participate, complete assignments, download materials, use platform access, schedule sessions, or achieve a desired result is not grounds for a refund. If KPD, Inc. permanently cancels an Offering before substantially delivering it and does not provide a reasonable substitute, KPD, Inc. will provide a prorated refund or credit for the undelivered portion. This is your exclusive monetary remedy for KPD, Inc.’s cancellation, except where applicable law requires otherwise.
6. Scheduling, Attendance, and Access
Session schedules, booking procedures, rescheduling windows, attendance expectations, and communication channels may be stated in the Program Content, welcome materials, or participant guide. You are responsible for calendar accuracy, time-zone conversion, reliable technology, and timely attendance.
For Group or Private Advisory, a session cancelled or rescheduled after the stated deadline, or missed without notice, may be forfeited. If no deadline is stated, at least twenty-four (24) hours’ notice is required. KPD, Inc. may make a reasonable exception for a documented emergency but is not obligated to do so. Group sessions generally will not be repeated or rescheduled for an individual participant; a recording may be provided when KPD, Inc. elects to record the session.
Login credentials are personal and may not be shared. Access begins and ends as stated in the Order Form. KPD, Inc. may use reasonable security measures and may suspend credentials associated with unauthorized access, account sharing, scraping, copying, or other misuse.
7. Events and Retreats
If an Offering includes or offers access to an in-person or virtual retreat, conference, CEO Circle event, VIP experience, or other event, the Order Form controls whether admission is complimentary, discounted, or separately priced. Unless expressly included, you are responsible for travel, lodging, ground transportation, parking, meals, insurance, technology, and incidental expenses.
Event dates, venues, speakers, format, agenda, and benefits may change. Admission is personal, nontransferable unless KPD, Inc. consents in writing, and subject to venue rules and codes of conduct. You voluntarily assume ordinary travel and participation risks and are responsible for determining whether you are physically and medically able to participate. KPD, Inc. does not provide medical care or travel insurance.
8. Client Responsibilities and Standards of Conduct
You agree to:
provide accurate, timely information and make your own business decisions;
participate professionally and respect the privacy, dignity, time, boundaries, and intellectual property of KPD, Inc., its team, guests, and other participants;
avoid harassment, discrimination, threats, solicitation, spam, disruption, unauthorized recording, or conduct that creates an unsafe or hostile environment;
comply with applicable laws, platform rules, event rules, and written program guidelines; and
obtain your own legal, tax, accounting, financial, insurance, employment, accessibility, and other professional advice.
Share your camera at all times!
KPD, Inc. may remove content or suspend or terminate access for a material breach, unsafe or disruptive conduct, nonpayment, infringement, confidentiality violation, or conduct that materially interferes with delivery. When reasonably appropriate, KPD, Inc. may provide notice and an opportunity to cure. Serious misconduct may result in immediate removal. Termination for Client breach does not waive amounts already due or the remaining balance of a fixed-price purchase.
9. Confidentiality and Community Privacy
Each party may receive nonpublic business, financial, operational, personal, or proprietary information from the other (“Confidential Information”). In group settings, Client may also receive Confidential Information from other participants. The receiving party will use Confidential Information only for participation in the Offering, protect it with reasonable care, and not disclose it except to personnel or professional advisers who need to know and are bound by confidentiality duties.
Confidential Information does not include information that the receiving party can demonstrate: (a) is or becomes public without breach; (b) was lawfully known without restriction; (c) is received lawfully from a third party without a duty of confidentiality; or (d) is independently developed without use of the disclosed information. A party may disclose information when legally required after giving prompt notice where lawful.
KPD, Inc. will use reasonable care to promote community privacy but cannot guarantee that another participant will comply. Do not disclose trade secrets, regulated data, passwords, protected health information, sensitive personal identifiers, or information you cannot safely share. This section does not prohibit lawful reports to regulators, law enforcement, attorneys, or other protected disclosures.
10. Recordings, Communications, and Technology
KPD, Inc. may record group sessions, trainings, or events for participant replay, quality assurance, accessibility, or internal training. KPD, Inc. will provide notice when reasonably practicable. By speaking or appearing after notice, you consent to incidental capture and use within the Offering. KPD, Inc. will not use your identifiable image, voice, story, testimonial, or case study in public marketing without separate permission, except for incidental crowd or event footage where permitted by law and disclosed at the event.
You may not record, transcribe, photograph, screenshot, stream, or distribute sessions or participant content without KPD, Inc.’s prior written approval and the consent of any identifiable participant. KPD, Inc. may use third-party platforms and technology, including videoconferencing, learning platforms, scheduling systems, payment processors, cloud services, and AI-assisted tools. Those services may have separate terms and privacy practices. KPD, Inc. is not responsible for outages or acts of independent third-party providers outside KPD, Inc.’s reasonable control.
11. Intellectual Property and Limited License
KPD, Inc. and its licensors retain all rights in the Offerings and related names, frameworks, assessments, methods, curricula, videos, recordings, audio, graphics, text, worksheets, templates, prompts, tools, designs, and other materials (“KPD, Inc. Materials”), including The Profitable Blueprint® and associated proprietary frameworks.
Upon full payment and subject to these Terms, KPD, Inc. grants you a limited, revocable, nonexclusive, nontransferable, nonsublicensable license to access and use the KPD, Inc. Materials for your own internal business learning and implementation during the stated access period. You may adapt completed worksheets for your own internal use, but you may not copy, sell, license, teach, publish, distribute, upload, reproduce, create derivative training products from, remove notices from, or use KPD, Inc. Materials to train an AI model or build a competing product or service. You may not share credentials or materials with employees, contractors, clients, students, members, or third parties unless the Order Form expressly grants a multi-user or commercial license.
You retain ownership of materials you provide to KPD, Inc. (“Client Materials”). You grant KPD, Inc. a limited license to use Client Materials solely to deliver the Offering, provide feedback, maintain business records, enforce these Terms, and comply with law. You represent that you have the rights needed to provide them.
12. Feedback, Testimonials, and Publicity
If you voluntarily provide suggestions or feedback, KPD, Inc. may use it without restriction or compensation, provided KPD, Inc. does not publicly identify you without permission. Public use of your name, image, logo, testimonial, results, or detailed case study requires separate express consent, which you may revoke prospectively as permitted by that consent and applicable law.
Nothing in these Terms restricts your right to make an honest review, report unlawful conduct, participate in a government investigation, or exercise any nonwaivable legal right. Both parties agree not to make knowingly false statements of fact about the other.
13. Educational and Professional Disclaimer
The Offerings provide education, strategic perspective, coaching, and advisory support. KPD, Inc., Kamila Brown Washington, and any instructors or guests are not acting as your attorney, accountant, tax adviser, investment adviser, therapist, physician, employment agency, publicist, sales representative, business manager, or other licensed professional unless a separate written agreement expressly states otherwise.
KPD, Inc. does not perform legal, tax, accounting, investment, clinical, employment, advertising-agency, public relations, fundraising, grant-writing, or done-for-you implementation services under these Terms. No attorney-client, fiduciary, therapist-patient, employment, partnership, joint venture, agency, or similar relationship is created. You remain solely responsible for your strategy, decisions, implementation, compliance, personnel, offers, marketing claims, contracts, finances, and results.
14. No Earnings or Results Guarantee
KPD, Inc. does not promise or guarantee revenue, profit, sales, clients, leads, visibility, audience growth, funding, cost savings, business valuation, or any other result. Examples, testimonials, projections, case studies, and statements about potential outcomes illustrate possibilities only and are not typical-results promises or guarantees. Your results depend on factors outside KPD, Inc.’s control, including your experience, decisions, effort, implementation, offer quality, market conditions, audience, team, finances, timing, and risk tolerance. Business activity involves risk, including possible loss of money and opportunity.
15. No Client, Network, or Opportunity Procurement
KPD, Inc. is not obligated to procure clients, sales, employment, funding, media coverage, speaking engagements, partnerships, investors, contractors, or other opportunities for you; introduce you to KPD, Inc.’s network; endorse you; or make referrals. Any introduction is discretionary and does not create an obligation or guarantee.
16. Privacy and Data
KPD, Inc. may collect and use personal information to process purchases, deliver Offerings, communicate with you, maintain records, improve services, prevent fraud, and comply with law, in accordance with KPD, Inc.’s posted Privacy Policy. You consent to receive transactional communications related to enrollment, access, scheduling, payment, security, service changes, and collections. Marketing communications will be handled according to applicable law and may be opted out of using the method provided; opting out of marketing does not stop necessary transactional communications.
17. Third-Party Content and Links
Offerings may reference third-party tools, vendors, books, websites, experts, software, or services. References do not constitute a warranty or endorsement. You are responsible for evaluating third-party offerings and their terms, fees, security, accessibility, and privacy practices. KPD, Inc. is not liable for third-party content, products, services, outages, or changes.
18. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE OFFERINGS AND KPD, Inc. MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” KPD, Inc. DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND RESULTS. KPD, Inc. DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE ACCESS OR THAT EVERY ERROR WILL BE CORRECTED. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO THESE DISCLAIMERS APPLY ONLY TO THE EXTENT PERMITTED BY LAW.
19. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KPD, Inc. AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, SUCCESSORS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY; OR COSTS OF SUBSTITUTE SERVICES, ARISING FROM OR RELATED TO AN OFFERING, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KPD, Inc.’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO A PARTICULAR OFFERING WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID KPD, Inc. FOR THAT OFFERING DURING THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR, FOR A ONE-TIME DIGITAL PRODUCT, THE AMOUNT PAID FOR THAT PRODUCT. THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED, INCLUDING LIABILITY FOR KPD, Inc.’S GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR FRAUD WHERE EXCLUSION IS PROHIBITED.
20. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless KPD, Inc. and its owners, officers, directors, employees, contractors, agents, affiliates, and successors from third-party claims, damages, judgments, penalties, costs, and reasonable attorneys’ fees arising from: (a) your Client Materials; (b) your business, offers, advertising, services, employment practices, or implementation decisions; (c) your violation of law, third-party rights, or these Terms; or (d) your willful misconduct or negligence. You have no obligation to indemnify a party for that party’s gross negligence, willful misconduct, or fraud. KPD, Inc. may control the defense with counsel of its choosing, and you may not settle a claim imposing liability or admissions on KPD, Inc. without KPD, Inc.’s written consent.
21. Force Majeure
Neither party is liable for delay or failure caused by events beyond reasonable control, including severe weather, natural disaster, epidemic, pandemic, war, terrorism, civil unrest, labor dispute, government action, utility or internet failure, venue closure, transportation interruption, illness or incapacity of essential personnel, or third-party platform failure. Obligations are extended for the period reasonably necessary. Payment obligations for services or products already delivered are not excused.
22. Dispute Resolution; Arbitration; Class Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHT TO GO TO COURT AND HAVE A JURY DECIDE A DISPUTE.
22.1 Informal Resolution
Before filing a claim, the complaining party must send written notice describing the dispute, supporting facts, requested relief, and contact information. The parties will attempt in good faith to resolve the dispute for at least thirty (30) days after receipt. This requirement does not prevent a party from seeking urgent temporary injunctive relief or filing in small claims court where eligible.
22.2 Binding Individual Arbitration
Except for eligible small-claims matters, requests for temporary or preliminary injunctive relief, and claims concerning infringement or misuse of intellectual property or Confidential Information, any dispute arising from or relating to these Terms, an Order Form, or an Offering will be resolved by binding arbitration on an individual basis. The arbitration will be administered by the American Arbitration Association (“AAA”) under the rules applicable to the transaction, as modified by these Terms. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision.
Unless the parties agree otherwise, the arbitration will occur remotely or in Cobb County, Georgia. The arbitrator may award any individual relief available in court and will issue a reasoned written decision. Each party will bear its own attorneys’ fees unless a statute, rule, or the arbitrator permits fee shifting. KPD, Inc. will not require a consumer to pay arbitration costs that the consumer would not be required to pay in court when applicable law prohibits it.
22.3 Class and Representative Action Waiver
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DISPUTES MUST BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, COLLECTIVE, CONSOLIDATED, MASS, PRIVATE-ATTORNEY-GENERAL, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OR PRESIDE OVER A REPRESENTATIVE PROCEEDING WITHOUT ALL PARTIES’ WRITTEN CONSENT.
22.4 Thirty-Day Arbitration Opt-Out
You may opt out of Sections 22.2 and 22.3 by sending a signed notice to the email and mailing address in Section 24 within thirty (30) days after first accepting these Terms. The notice must include your name, purchase email, Offering, purchase date, and a clear statement that you opt out of arbitration. Opting out will not affect other Terms or your access to the Offering.
23. Governing Law and Court Venue
These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles, except that the Federal Arbitration Act governs Section 22. For disputes not subject to arbitration, the parties consent to the exclusive jurisdiction of the state and federal courts located in or serving Cobb County, Georgia, and waive objections to personal jurisdiction or venue, except where applicable law requires otherwise.
24. Notices and Contact Information
Notices to KPD, Inc. must be sent by email to [email protected] and, for formal legal notices, by certified U.S. mail or nationally recognized overnight carrier to: KPD, Inc., Inc., Attn: Legal Notices, 2451 Cumberland Pkwy, Suite 3736, Atlanta, GA 30339. Notices to Client may be sent to the email or mailing address associated with the purchase and are effective when sent, unless law requires a different method.
25. Updates to These Terms
KPD, Inc. may update these Terms prospectively for future purchases or renewals. The version accepted at purchase governs that purchase unless: (a) you expressly agree to updated Terms; (b) a change is required by law; or (c) the change is procedural and does not materially reduce your rights. Material changes to an ongoing Offering will be communicated using the contact information on file. KPD, Inc. will not retroactively impose a materially adverse term without your consent where consent is legally required.
26. General Provisions
Entire Agreement. These Terms, the applicable Order Form, and any documents expressly incorporated by reference constitute the entire agreement regarding the Offering and supersede prior or contemporaneous discussions, representations, proposals, and understandings on that subject.
Order of Precedence. A negotiated, signed agreement controls over an Order Form; an Order Form controls over these Terms only for the specific matter it expressly addresses; these Terms control over informal messages, calls, presentations, or promotional summaries.
Assignment. You may not assign or transfer your rights or obligations without KPD, Inc.’s prior written consent. KPD, Inc. may assign these Terms in connection with a merger, acquisition, reorganization, sale of substantially all assets, or transfer to an affiliate or successor, provided the assignee assumes KPD, Inc.’s obligations.
Severability. If a provision is held invalid or unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions remain effective. If the class waiver in Section 22.3 is found unenforceable as to a particular claim, that claim will proceed in a court of competent jurisdiction after all arbitrable claims are completed, unless applicable law requires otherwise.
No Waiver. Failure to enforce a provision is not a waiver. A waiver must be in writing and applies only to the specific instance stated.
Survival. Payment obligations and provisions concerning confidentiality, intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and any terms that by their nature should survive will remain effective after expiration or termination.
Headings; Electronic Copies. Headings are for convenience only. Electronic signatures, checkbox acceptance, and electronic records have the same effect as originals to the extent permitted by law.
No Third-Party Beneficiaries. Except for persons expressly protected by the limitation, release, or indemnification provisions, these Terms create no rights in any third party.
27. Acknowledgment
BY PURCHASING, SIGNING, OR ACCESSING AN OFFERING, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD THESE TERMS; HAD THE OPPORTUNITY TO ASK QUESTIONS AND CONSULT INDEPENDENT COUNSEL; UNDERSTAND THAT RESULTS ARE NOT GUARANTEED; AGREE TO THE PAYMENT, REFUND, INTELLECTUAL-PROPERTY, CONFIDENTIALITY, LIABILITY, AND DISPUTE-RESOLUTION TERMS; AND INTEND TO BE LEGALLY BOUND.
